BY COMPLETING THE REGISTRATION PROCESS AND CHECKING THE "I ACCEPT" BUTTON, YOU ARE INDICATING YOUR AGREEMENT TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF USE BELOW.

TERMS AND CONDITIONS OF USE

This ELiveService service (the "Service") and the software enabling the use thereof and related updates (the "Software"), are provided by Hermes Technologies Inc. and/or its affiliates. Clicking on the "I Accept" button at the bottom of this Agreement means that you accept and agree to be bound by the Terms and Conditions and any modifications thereto. 
1. The Software and Service is provided on an "AS IS" and "AS AVAILABLE" basis. 
2. General Terms and Conditions: The Software and Service are provided by ELiveService to let you to conduct live help chat sessions with visitors to your site. While ELiveService strives to protect its Users' personal information and privacy, we cannot guarantee the security of any information you disclose online. You understand and acknowledge that we have no obligation to monitor any portion of the Service, including without limitation, content posted by you, your Visitors and other Users or Visitors. You acknowledge and agree, however, that we retain the right to monitor the Service and to disclose any information as necessary or appropriate to satisfy any law, regulation or other governmental request, to operate the Service properly, or to protect the Service or its Users or Visitors. You agree to immediately notify us of any unauthorized use of your membership or any other breach of security known or suspected by you. You acknowledge that you are aware of the limitations of security and privacy. 
3. Overloading System: You shall not use ELiveService's services in a way that causes an unreasonable or unauthorized load on ELiveService's systems. Unless authorized in writing by ELiveService, you will not use the ELiveService click for call and tracking HTML tags on web pages or email campaigns which generate over 120,000 visitors per month or over 120 simultaneous visitors.
4. Limitation: While using the Service, you may not change the ELiveService click for call and tracking HTML codes. You may not send unsolicited bulk e-mail (spam) with a link to the ELiveService service (including button code or monitor tag) or web site, or a link to a web site that contains a link to the ELiveService service or web site.
5. Automatic Renewal  This Agreement will automatically renew at the most recent monthly service price unless You or ELiveService sends the other written notice that the non-renewing party does not want it to renew at least fifteen (15) days before the end of a full service month calculated from the same day of any month on which the rendition of services by ELiveService to You originally commenced. If any payment due to ELiveService under this Agreement is not paid when due, You agrees to pay ELiveService interest on the past due amount on a daily basis from the due date until the date paid at a rate equal to the lesser of 20% per annum or the maximum rate allowed by law.
6. LIMITATION OF LIABILITY. ELiveService assumes no responsibility for the deletion or failure to store electronic messages, chat communications, or other information submitted by any user of ELiveService. 
SPECIFIC DISCLAIMER FOR HIGH-RISK ACTIVITIES. The SOFTWARE and eLiveService is not designed or intended for use in high-risk activities including, without restricting the generality of the foregoing, on-line control of aircraft, air traffic, aircraft navigation or aircraft communications; or in the design, construction, operation or maintenance of any nuclear facility. eLiveService and its suppliers specifically disclaim any express or implied warranty of fitness for such purposes or any other purposes. 
NO LIABILITY FOR CONSEQUENTIAL DAMAGES. To the maximum extent permitted by applicable laws, in no event shall eLiveService or its suppliers be liable for any damages whatsoever (including without limitation, damages for loss of business profits, business interruption, loss of information, or other pecuniary loss) arising out of the use of or inability to use this eLiveService product, even if eLiveService has been advised of the possibility of such damages.
NO OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, eLiveService AND ITS SUPPLIERS DISCLAIM ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO THE SOFTWARE AND THE ACCOMPANYING PRINTED MATERIALS. 
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL eLiveService OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF eLiveService HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES EXCEPT FOR THE CASE OF INFRINGEMENT OF ANOTHER PARTIES INTELLECTUAL PROPERTY. IN ANY CASE, eLiveService'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS LA SHALL BE LIMITED TO THE GREATER OF THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE OR US$5.00 EXCEPT IN THE CASE OF FRAUD OR INFRINGEMENT OF COPYRIGHT eLiveService AGREES TO INDEMNIFY YOU INCLUDING ATTORNEY FEES AND EXPENSES FROM THIRD PARTIES AS THE RESULT OF ELiveService'S ORIGINAL CODE.
7. TERMINATION By way of example but not limitation, ELiveService reserves the right to terminate the Agreement at any time if ELiveService determines, in its sole discretion, that a User's site or activities are unsuitable for ELiveService's service.  "Unsuitable" sites or activities may include, without limitation, those sites that ELiveService believes: promote illegal activities or fail to comply with applicable law; or have the potential to interfere with the use of the Service by other Users. This Agreement remains effective until expiration or termination. This Agreement will automatically terminate if you fail to comply with any term or condition of this Agreement or if you fail to pay for the license when due and such failure to pay continues for a period of 30 days after written notice from eLiveService. If the Software was provided for limited term use, this Agreement will automatically expire at the end of the authorized term. Upon any termination or expiration, you agree to cease all use of the Software and return it to eLiveService or certify deletion and destruction of the Software, including all copies, to eLiveService reasonable satisfaction.
